IF YOU DO NOT AGREE TO THE TERMS OF THIS LICENSE AGREEMENT, YOU ARE NOTPERMITTED TO USE National ZIP+4 Address Database, AND YOU MUST IMMEDIATELYDELETE ALL DOWNLOADED FILES OF National ZIP+4 Address Database FROM YOURCOMPUTER(S) AND/OR PROMPTLY RETURN THE National ZIP+4 Address DatabaseMEDIA TO CD LIGHT FOR A REFUND OF THE PURCHASE PRICE.The invoice issued to you by CD Light when you purchased National ZIP+4Address Database indicates which of the following licenses governs your useof National ZIP+4 Address Database. This document contains all threelicenses offered by CD Light for National ZIP+4 Address Database. However,only the license(s) indentified by the invoice is(are) applicable.License OverviewCD Light offers two primary licenses and a license addendum for each of itsdatabase products: an enterprise (multi-user, multi-site) license, aworkstation (single-user) license, and a duplication license addendum. Theinvoice issued to you by CD Light when you purchased National ZIP+4 AddressDatabase indicates which of these licenses governs your use of NationalZIP+4 Address Database. Please contact CD Light immediately if the licenseindicated on your CD Light invoice does not match the way you intend to useNational ZIP+4 Address Database.The enterprise license is the standard user license for all CD Lightdatabase products. It provides for unlimited use of any one CD Lightdatabase product within your organization. You can copy and install thedatabase on as many computers or networks as you wish at as many sites asyou wish within your organization. The enterprise license permits anunlimited number of users within your organization to access the databasesimultaneously. If you incorporate some or all of the database into aprogram which is used internally by people within your organization, thenyou need the enterprise license. Likewise, if you want to incorporate thedatabase into a product which is accessed via the Internet, then you needthe enterprise license. The enterprise license does not, by itself, grantyou a license to sell the CD Light database itself nor any part of it whichyou may have incorporated into your products. For that you must also havethe duplication license addendum, described below.The workstation (single-user) license is a lower-cost, restricted-uselicense intended for those situations where the database is installed ononly a single machine, at one site, and never accessed by more than oneuser under any circumstances. Typically, this is a non-networked personalcomputer which does not share data or storage with other computers orusers. The workstation license does NOT permit you to access the databaseitself or a program incorporating some or all of the database over anetwork or the Internet. For that you need the enterprise license.Moreover, if you want to incorporate the database into a product which youintend to distribute to other people, you must also have the duplicationlicense addendum, described below.The duplication license addendum permits either limited or unlimitedcommercial and/or non-profit distribution of products which incorporatesome or all of a CD Light database product. The duplication license is anadd-on license; you must first purchase either a workstation license (inthe case of a single development workstation) or an enterprise license (inthe case of installation on multiple computers or access by multiple users)for the database you plan to distribute. The duplication license appliesonly to the CD Light database identified by the associated workstation orenterprise license, and only to the one version or annual subscriptioncovered by that license. In other words, you are permitted to duplicatedata received now or under a current subscription. But in the future if youwish to purchase an additional update or annual subscription, you must alsopurchase a duplication license at that time to cover the data delivered toyou under that workstation or enterprise license agreement. If you do notpurchase a duplication license for the new database delivered under a newworkstation or enterprise license, you are not permitted to duplicate thenew database.Note that the duplication license addendum permits you to incorporate someor all of a CD Light database into a product for distribution (which wecall a derivative product), but prohibits the distribution of the rawdatabase data itself. You must add some value to the database byincorporating it into another product in order to qualify for theduplication license. We cannot and will not permit you to distribute ourdatabase products in direct competition with us.Licensing ExamplesHere are a few examples of real-life licensing situations which may helpyou understand our intent with regard to the licensing of our databaseproducts.Example 1. You want to incorporate a CD Light database product into an in-house order-entry program which verifies the city-state-zip code forcallers placing orders for your products. The order-entry program is usedby ten telephone operators. You would need the enterprise license because the database will be accessedby up to ten simultaneous users within your company, as well as by yourprogrammers on their development machines.Example 2. You are a one-man shop developing a dealer-locator program whichyou wish to sell to the web masters of web sites around the USA. You planto extract the latitude and longitude information from a CD Light databaseto use in calculating the distance between ZIP codes. You plan to demo yourdealer locator on your own web site. You would need both the enterprise license and the duplication licenseaddendum. You need the enterprise license because you will be using thedata extracted from the CD Light database in a program accessible tomultiple users via the Internet. And you need the duplication licenseaddendum because you will be selling portions of the CD Light database tothird parties as a part of your product.Example 3. You want to use a CD Light database as a reference source tocorrect the area codes of customer records in your customer database. Alldatabase area code update work will be performed on a single workstation,and your customer database is maintained on a server. Your updated customerdatabase will be available to users throughout your company.You need only the workstation (single-user) license. The CD Light databaseitself will be installed on a single workstation and will NOT be directlyor indirectly accessed by users in your company.Example 4. You want to develop an application for multi-user in-house usewhich you may decide later to sell as a product. Your application wouldincorporate data extracted from a CD Light database.Initially, you might purchase a workstation (single-user) license fordatabase use on a single development machine. This would be sufficientduring the development phase of a project. But because the finalapplication is to be used by many people, you would eventually need toupgrade to an enterprise license. Licensee may: (a) useNational ZIP+4 Address Database in accordance with the terms of thisAgreement; (b) make multiple copies of National ZIP+4 Address Database forbackup or archival purposes; (c) install National ZIP+4 Address Database atmultiple locations and/or on multiple computers or workstations. NationalZIP+4 Address Database may be installed on multiple network servers, inwhole or in part, or as part of a derivative work, and may be usedsimultaneously by an unlimited number of users within Licensee'sorganization.RESTRICTIONSLicensee may NOT: (a) use or copy National ZIP+4 Address Database except asprovided in this Agreement; (b) transfer, rent, lease, lend, copy, modify,translate, sublicense, timeshare, or electronically transmit National ZIP+4Address Database or any derivatives thereof to any third party; (c) modify,adapt, or translate National ZIP+4 Address Database in whole or in part,except as provided in this Agreement; or (d) incorporate National ZIP+4Address Database into another product for commercial or non-profitdistribution.DISTRIBUTIONPermission to distribute National ZIP+4 Address Database, in whole or inpart, or as part of a derivative work, outside of Licensee's organization,is not granted by this Agreement, and is specifically prohibited.DERIVATIVE WORKSPermission to prepare derivative works, incorporating National ZIP+4Address Database in whole or in part, for use only within Licensee'sorganization, is granted to Licensee. However, if Licenseehas paid for a quarterly subscription for National ZIP+4 Address Database,Licensee is entitled to receive the Current Version, plus the next three(3) quarterly version updates of National ZIP+4 Address Database. IfLicensee has paid for a monthly subscription for National ZIP+4 AddressDatabase, Licensee is entitled to receive the Current Version, plus thenext eleven (11) monthly version updates of National ZIP+4 AddressDatabase.  All provisions of this Agreement apply to all versions ofNational ZIP+4 Address Database delivered to Licensee by CD Light, andremain in effect after all version updates have been delivered to Licenseeby CD Light.OWNERSHIP & COPYRIGHTTitle, ownership rights and intellectual property rights in and to NationalZIP+4 Address Database and all copies thereof shall remain in CD Lightand/or its licensors. National ZIP+4 Address Database is copyrighted andprotected by United States copyright laws and international treatyprovisions. Licensee agrees: (a) not to remove any copyright notice fromNational ZIP+4 Address Database; (b) to reproduce all such notices on anyauthorized copies Licensee makes; and (c) to use best efforts to preventany unauthorized copying of National ZIP+4 Address Database.LIMITED WARRANTYFor a period of thirty (30) days from the date of the National ZIP+4Address Database invoice issued to Licensee by CD Light, CD Light warrantsthat: (a) the media (if any) on which National ZIP+4 Address Database isdistributed will be free from defects in material and workmanship undernormal use; and (b) the database conforms substantially to the accompanyingDocumentation. Specifically, CD Light makes no representation or warrantythat National ZIP+4 Address Database data, or the accompanyingDocumentation are "error-free", or meet Licensee's particular standards,requirements, or needs. In all events, any implied warranty,representation, condition, or other term is limited to the physical media(if any) and documentation, and is limited to the 30-day duration of thelimited warranty. If CD Light receives notification within the warrantyperiod of defects in materials or workmanship, and determines that suchnotification is correct, CD Light will replace the defective media ordocumentation.NO OTHER WARRANTIESCD LIGHT SPECIFICALLY DISCLAIMS ALL OTHER WARRANTIES, REPRESENTATIONS, ORCONDITIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY IMPLIEDWARRANTY OR CONDITION OF MERCHANTABILITY OR FITNESS FOR A PARTICULARPURPOSE. ALL OTHER IMPLIED TERMS ARE EXCLUDED.LIMITATION OF LIABILITYThe entire and exclusive liability and remedy for breach of the limitedwarranty shall be limited to replacement of defective media ordocumentation and shall not include or extend to any claim for or right torecover any other damages, including but not limited to, loss of profit,data, or use of the software or special, incidental or consequentialdamages, or other similar claims, even if CD Light has been specificallyadvised of the possibility of such damages. In no event will CD Light'sliability for any damages to Licensee or any third party ever exceed theoriginal purchase price paid for the package or the license to use thesoftware, regardless of the form of the claim.TERMINATIONLicensee may terminate this Agreement at any time. CD Light willimmediately terminate this Agreement and Licensee's right to use NationalZIP+4 Address Database without written notice upon Licensee's failure tocomply with any provision of this Agreement. If this Agreement isterminated for any reason, Licensee will: (a) cease all use of NationalZIP+4 Address Database; and (b) delete National ZIP+4 Address Database andall copies from all computers on which it is resident.ENTIRE AGREEMENTThis Agreement represents the complete agreement between the partiesrelating to this license for National ZIP+4 Address Database and supersedesall prior agreements, communications, proposals, and representationsbetween the parties and prevails over any conflicting or additional termsof any quote, order, acknowledgment or similar communication. ThisAgreement may only be modified by a license addendum which accompanies thislicense or by a written document signed by both parties.GOVERNMENT RESTRICTED RIGHTSNational ZIP+4 Address Database is provided with RESTRICTED RIGHTS. You and your organization, as theLicensee, indicate your acceptance of the Terms and Conditions of thisAddendum by duplicating and distribution to third parties derivative workscontaining National ZIP+4 Address Database in whole or in part. If you donot agree to the terms of this Duplication License Addendum, you are notpermitted to duplicate National ZIP+4 Address Database for distribution tothird parties, and you must immediately notify CD Light for a refund of theduplication license addendum purchase price.GRANT OF LICENSECD Light grants Licensee the following additional non-exclusive, world-widerights with respect to National ZIP+4 Address Database.  Licensee may: (a)use National ZIP+4 Address Database in accordance with the terms of thisAddendum; (b) make multiple copies of National ZIP+4 Address Database forbackup or archival purposes; (c) incorporate National ZIP+4 AddressDatabase, in whole or in part, into a derivative work, for commercial ornon-profit distribution outside of Licensee's organization; and (d) makeand sell multiple copies of the derivative work containing National ZIP+4Address Database, provided Licensee makes no more copies than the numberspecified by the National ZIP+4 Address Database Duplication LicenseAddendum invoice issued to Licensee by CD Light.RESTRICTIONSLicensee may NOT: (a) use,  copy, or distribute National ZIP+4 AddressDatabase except as provided in this Addendum; (b) modify, adapt, ortranslate National ZIP+4 Address Database in whole or in part, except asprovided in this Addendum; or (c) copy and/or distribute National ZIP+4Address Database in its entirety as a database file containing nothingother than raw data.DISTRIBUTIONPermission to distribute National ZIP+4 Address Database, in whole or inpart, as part of a derivative work, outside of Licensee's organization, isspecifically granted by this Addendum.DERIVATIVE WORKSPermission to prepare derivative works, incorporating National ZIP+4Address Database in whole or in part is granted to Licensee. If Licensee has paid for a monthly subscription forNational ZIP+4 Address Database, Licensee is entitled to receive receiveand duplicate the Current Version, plus the next eleven (11) monthlyversion updates of National ZIP+4 Address Database.
